Terms of Service & Disclosures

Below are the terms of service and required disclosures that shall govern Live Energy’s relationship with it’s clients.

Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the Live Energy Inc website (https://www.liveenergy.com), or requesting energy brokerage or energy consulting services (“Services”) offered by Live Energy Inc.

Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Services. By accessing or using the Services you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Services.

Definitions

When dealing with Live Energy either verbally or in writing, the following terms may be used. Meaning shall be interpreted as defined below.

Broker – A person that provides brokerage services.

Note: Other relevant provisions clarify that a person required to register as a broker include those who
receive “compensation or other consideration” for providing brokerage services and those who enter into a
written agreement to provide brokerage services. Brokerage services offered online are also included.

Brokerage Services – Providing advice or procurement services to, or acting on behalf of, a retail electric
customer regarding the selection of a REP, or a product or service offered by a REP.

Consulting Services – Providing advice or consulting services to, or acting on behalf of, a client regarding the selection and or implementation of energy solutions, or a product or service offered by an energy solutions provider.

Energy Solutions – All energy services and products that are not related procurement of commodity services.

Client – A person who receives or solicits brokerage services from a broker.

Client Agent – A broker who has the legal right and authority to act on behalf of a client regarding the
selection of, enrollment for, or contract execution of a product or service offered by a retail electric provider
(REP), including electric service.

Proprietary Client Information – Any information that is compiled by a broker on a client or retail electric
customer that makes possible the identification of any individual client or retail electric customer by
matching such information with the client’s or customer’s name, address, retail electric account number,
type or classification of retail electric service, historical electricity usage, expected patterns of use, types
of facilities used in providing service, individual retail electric or brokerage services contract terms and
conditions, price, current charges, billing records, or any information that the client or customer has
expressly requested not be disclosed. Information that is redacted or organized in such a way as to make
it impossible to identify the client or customer to whom the information relates does not constitute
proprietary client information.

Broker Fees – Monetary compensation for brokerage services provided by Live Energy.

Consulting Fees – Monetary compensation for consulting services provided by Live Energy.

Terms of Service

Compensation For Brokerage Services – Unless otherwise agreed to, Live Energy is compensated by Retail Energy Providers in the form a of a broker fee that is embedded in the energy rate charged to Live Energy clients. Upon execution of any contract for commodity services such as electricity or natural gas, Live Energy shall earn a broker fee which may be paid up front or on a residual basis.

Compensation For Consulting Services – Unless otherwise agreed to, Live Energy is compensated by Energy Solutions Providers in the form a of a consulting fee that may be embedded in the gross project cost charged to Live Energy clients. Upon execution of any contract for Energy Solutions, Live Energy shall earn a consulting fee which may be paid up front or on a residual basis.

Agreement – Live Energy agrees to provide brokerage services and consulting services to clients who request its services. The relationship between Live Energy and it’s clients shall be governed by the laws in the jurisdiction where services are rendered. Live Energy may enter into a written agreement with it’s clients at it’s sole discretion, or Live Energy may agree to render services in good faith by verbal agreement.

Term – If Live Energy agrees to render services in good faith, without a written contract, the term of it’s relationship with it’s client shall last in perpetuity, or until the client provides written notice that it would like to terminate it’s relationship with Live Energy. If a written agreement is executed between Live Energy and it’s client then the term and termination shall be governed by the terms of the written agreement.

Termination – Client may terminate it’s relationship with Live Energy at it’s sole discretion unless a written agreement has been duly executed by Live Energy and client. Termination of Live Energy by client shall have no impact on broker fees or consulting fees earned on commodity contracts or consulting projects prior to termination. Client agrees that Live Energy shall continue to receive any broker fees or consulting fees that were earned by Live Energy in exchange for rendering brokerage services or consulting services prior to termination.
